These Terms of Service ("Terms") govern your access to and use of the website and customer portal at hslclub.com (the "Service") operated by Nanjing Haishengli Technology Co., Ltd. ("HSL Lighting", "we", "us"). By accessing or using the Service, you agree to these Terms. If you do not agree, please do not use the Service.
1. About us
The Service is operated by Nanjing Haishengli Technology Co., Ltd. (HSL Lighting), a company registered in Nanjing, Jiangsu, China, engaged in the supply of residential and commercial decorative lighting products ("Products").
2. Eligibility and accounts
The Service is intended for business customers (wholesale buyers, distributors, importers and project parties). Portal accounts are created for registered customers. You are responsible for keeping your account credentials confidential and for all activity under your account. Notify us immediately at [email protected] if you suspect unauthorized use.
3. Acceptable use
You agree not to misuse the Service, including but not limited to: attempting unauthorized access, interfering with the Service's operation, scraping content at scale, uploading malicious code, infringing intellectual property rights, or using the Service for any unlawful purpose.
4. Product information
Product descriptions, specifications, images and catalog data on the Service are provided for general information and may change without notice. Final specifications, packaging and compliance documentation are confirmed in your quotation, proforma invoice or sales contract. Errors or omissions may occur; please confirm critical specifications with us before ordering.
5. Quotations and orders
Quotations are subject to the validity period stated in the quotation (standard 30 days) and to product availability. An order becomes binding when we issue a proforma invoice or order confirmation and receive the agreed deposit. Minimum order quantities (MOQ) and lead times are as stated in the quotation or confirmed order.
6. Prices and payment
Prices are quoted in the currency and on the trade terms stated in the quotation (for example EXW, FOB, CIF or DDP; see the named place). Payment methods and schedules are as agreed in the proforma invoice (standard practice: deposit by T/T with balance before shipment). Import duties, taxes and charges at destination are borne according to the agreed Incoterm.
7. Shipping and delivery
Delivery terms follow the Incoterm stated in the order. Lead times are estimates and may be affected by production schedules, holidays, carrier availability and customs. Title and risk transfer according to the agreed Incoterm. We assist with shipping documents and carrier arrangements as agreed.
8. Warranty, returns and after-sales
Warranty periods and quality terms are as stated in your proforma invoice or sales contract. Manufacturing defects reported within the agreed inspection window are handled through our after-sales process (repair, replacement, spare parts or refund, as appropriate). Returns require prior authorization; unauthorized returns may be refused.
9. Intellectual property
All content on the Service, including text, images, logos, product data and the slogan "One Source. Every Scene.", is the property of HSL Lighting or its licensors and is protected by intellectual property laws. You may not copy, modify, distribute or use our content for commercial purposes without prior written consent, except for internal use of materials we provide for selling our Products.
10. Third-party links and services
The Service may contain links to third-party websites or integrate third-party services (for example payment, logistics or messaging providers). We are not responsible for the content, policies or practices of third parties. Use of third-party services is governed by their own terms.
11. Disclaimers
The Service is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, regarding the Service, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Service will be uninterrupted, error-free or secure.
12. Limitation of liability
To the fullest extent permitted by law, HSL Lighting shall not be liable for any indirect, incidental, special, consequential or punitive damages, or for loss of profits, data or business opportunity. Our aggregate liability arising out of or relating to the Service or any order shall not exceed the total amount paid by you to us for the order giving rise to the claim.
13. Indemnity
You agree to indemnify and hold harmless HSL Lighting and its officers, employees and agents from claims, damages, losses and expenses (including reasonable legal fees) arising out of your misuse of the Service, your breach of these Terms, or your violation of applicable law or third-party rights.
14. Termination
We may suspend or terminate your access to the Service (including portal accounts) if you breach these Terms, if required by law, or if we discontinue the Service. Provisions that by their nature should survive termination (including intellectual property, disclaimers, liability limits and governing law) will survive.
15. Governing law and disputes
These Terms are governed by the laws of the People's Republic of China. Any dispute arising out of or relating to these Terms or the Service shall be submitted to the competent people's courts in Nanjing, Jiangsu, China, unless mandatory law provides otherwise.
16. Changes to these terms
We may revise these Terms from time to time. The effective date at the top indicates the latest revision. Continued use of the Service after changes constitutes acceptance of the revised Terms.
